Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Student", "User", or "You") and NeoSage / Shivani Virdi ("Company", "We", "Us", or "Our") governing your access to and use of the Engineer's AI Accelerator website, course materials, community, and associated content (collectively, the "Service").

By purchasing or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. The Service & License

2.1 Grant of License

Subject to your compliance with these Terms and full payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to access the course materials for your personal, non-commercial educational use.

2.2 Code Usage Rights (The "Builder's License")

We distinguish between "Course Content" (videos, text lessons, slides) and "Code Assets" (code snippets, repositories, templates provided in the course).

• Course Content: You may NOT redistribute, resell, broadcast, or share the videos, slides, or written lessons.
• Code Assets: You MAY use the code templates and snippets provided in the course to build applications for your personal projects or for your employer/business operations. You may not, however, repackage the code assets to sell a competing educational product or "starter kit."

2.3 Account Security

Your login credentials are for your personal use only. Sharing your account access with others (including coworkers) is a violation of these Terms and will result in immediate termination of your account without refund.

2.4 Feedback and Testimonials

From time to time you may provide feedback, reviews, survey responses, testimonials, or other comments regarding the Service ("Feedback"). You grant the Company a perpetual, worldwide, royalty-free, non-exclusive, and sublicensable license to use, reproduce, publish, display, and adapt such Feedback for any purpose, including advertising, marketing, and promotional materials, in any medium now known or later developed. This license extends to your name (in full, or as a first name and last initial), job title, company, and any likeness you have provided or made publicly available (including a profile photograph or social media post), without compensation, attribution obligation, or prior review or approval by you. You represent that you have the right to grant this license.

Notwithstanding the foregoing, where required by applicable law, including for residents of the EEA, the United Kingdom, and California, you may withdraw your consent and request removal of a specific testimonial from the Company's current and future materials at any time by emailing info@neosage.io, and the Company will comply within a reasonable period.

2.5 Student Submissions and Project Showcase

In the course of the Service you may submit assignments, capstone projects, code, documentation, demo recordings, and related materials ("Submissions"). You retain ownership of your Submissions.

You grant the Company a perpetual, worldwide, royalty-free, non-exclusive, and sublicensable license to use, reproduce, publish, display, adapt, and create derivative works from your Submissions for the purposes of operating, evaluating, and promoting the Service, including in a public project showcase, in marketing and promotional materials, and in course content, in any medium now known or later developed. This license extends to your name, job title, company, professional profile links, and any likeness you have provided or made publicly available.

The Company will not publish the complete source code of your Submissions without your separate written permission. The Company may publish descriptions, screenshots, architecture summaries, excerpts, and recordings of your work.

You represent that your Submissions are your own work, that you have the right to grant this license, and that your Submissions do not contain confidential, proprietary, personal, or third-party material that you are not permitted to disclose. Please do not submit material you are not free to share.

You may request removal of your Submission from the Company's public materials at any time by emailing info@neosage.io, and the Company will comply within a reasonable period. Removal does not extend to materials already distributed.

3. Payments and Billing

3.1 Pricing

Prices for the Service are listed on the website and are subject to change without notice. The price charged will be the price in effect at the time of your purchase.

3.2 Payment Processing

We use third-party payment processors (e.g., Stripe) to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms.

4. Refund Policy (No Refunds)

4.1 All Sales Are Final

Due to the digital nature of the content and the immediate access to proprietary intellectual property, all sales are final and non-refundable. We do not offer refunds, exchanges, or cancellations once a purchase is made.

4.2 Satisfaction & Support Guarantee

While we do not offer refunds, we are fully committed to your success as an engineer. If you encounter technical issues with the platform, have trouble accessing materials, or feel the curriculum is not meeting the stated learning objectives, please contact our support team at support@neosage.io. We will work with you personally to resolve technical blockers and ensure you can fully leverage the course value.

5. Intellectual Property Rights

5.1 Ownership

All content included in the Service, such as text, graphics, logos, images, audio clips, video clips, and digital downloads, is the property of the Company and is protected by international copyright laws.

5.2 Prohibited Conduct

You agree not to:

• Copy, record, or distribute any part of the course content.
• Use the Company's proprietary information to create a competing product or service.
• Share your access with non-subscribers.

6. Disclaimers and No Guarantees

6.1 Educational Purpose

The Service is for educational purposes only. While we teach production-grade standards, the Company makes no guarantees regarding:

• Specific career outcomes (hiring, promotion, or salary increases).
• The functionality of code in your specific production environment.
• The error-free operation of third-party tools (e.g., OpenAI, LangChain, Pinecone) taught in the course.

6.2 "As Is" Basis

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company explicitly disclaims any warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

In no event shall the Company's total liability to you for all claims exceed the amount you paid to the Company for the Service.

8. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via the email address associated with your account. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming.
